Terms of Service

Overview

These terms govern the relationship between WAVESIGNAL LTD, trading as WaveSignal, and clients who engage us to deliver marketing services. WAVESIGNAL LTD is registered in England and Wales under company number 17460234. The registered office is shown in the footer. By booking a discovery call or engaging our services, you agree to these terms.

Services

WaveSignal builds and runs B2B client-acquisition services including paid acquisition, cold email, LinkedIn, Google Ads and SEO. The exact scope of work for each project is agreed in writing before work begins.

Payment

  • Setup fees are invoiced upfront and due before build work begins.
  • Monthly retainer fees are billed on a rolling basis and due on the same date each month.
  • Invoices unpaid after 14 days may result in work being paused.
  • All prices are in GBP and exclusive of VAT where applicable.

Results guarantee

Where Paid Acquisition is engaged, the guarantee is 15 qualified booked calls within 30 days of the campaign going live. If it is not met, the second month’s fee is waived and work continues at no further charge until the guaranteed number is delivered, subject to the four conditions set out at point of sale. Continued work at no charge runs for a maximum of 60 days beyond the guarantee window; after that point either party may end the engagement with no further fees due on either side. The obligation lapses if any of the four conditions is not met.

Intellectual property

On full payment of the setup fee, you own the work product built for your business — campaigns, creative, enquiry-capture workflows, websites, and configurations specific to your account. We retain the right to reference the project type (not confidential details) in our portfolio.

Cancellation

Monthly retainers can be cancelled with 30 days' written notice. Setup fees are non-refundable once build work has begun. If you cancel before work starts, a full refund is issued within 5 business days.

Subprocessors and data processing

WaveSignal uses third-party service providers (subprocessors) to deliver its services. Personal data may be processed by these subprocessors in the course of delivering WaveSignal's services to you. Current subprocessors:

  • Cal.com — appointment booking
  • ElevenLabs — voice synthesis
  • n8n — workflow automation
  • Railway — infrastructure hosting
  • Resend — transactional email delivery
  • Retell AI — AI voice agent infrastructure
  • Supabase — application data storage
  • Twilio — SMS and telephony
  • Vercel — hosting and edge infrastructure

This list may be updated as the service evolves. Material changes to subprocessors that affect personal data processing will be communicated in advance in line with UK GDPR requirements.

Limitations

WaveSignal is not liable for issues caused by third-party service-provider outages, changes to third-party APIs outside our control, or data loss resulting from your own systems or credentials. Third-party service providers used to deliver WaveSignal services are listed in the Subprocessors section above. We maintain 99.9% uptime for systems under active retainer.

Confidentiality

Both parties agree to keep confidential any proprietary information shared during the engagement. We will never share your business data, customer data, or campaign and account details with third parties outside the subprocessors required to deliver the service.

Governing law

These terms are governed by the laws of England and Wales.
